Opinions on best CPU for safe heat level

OK, I'm looking for opinions.
I currently have all the parts I need to mod a V-5 i-Opener into a mobile GPS and onboard general purpose computer.
I just need opinions on which Cpu would be better to use at 300 or 333 MHZ. I believe this clock freq. will be fine for what I am using it for.
I have a K6-III 400AHX 2.4v core and also a (mobile Ver) K6-III+ 450ACZ 2.0v core.
I'm considering cutting a neat hole in the back cover and shield for a large heatsink and cpu fan and run that on the vehicles 12v supply. Also considering cutting a smaller hole for a subminiature 5v fan for cooling Q-16 power mosfet.
What I'm most concerned about is heat buildup during the summer months inside the vehicle. (Possibly heat damaging the LCD display too) The i-Opener will be near the front windshield and as you all know on a nice sunny midsummer day it can get real hot there.
I intend to mount the Harddrive seperately and have it connected with a SCSI-2 shielded 50 conductor interface cable like the ones that are used for certain HP Scanners,etc. The harddrive will either be shock asborb mounted w/ foam out of the way on the transmission hump or if I can squeak a longer cable without generating problems with the IDE signal will mount it under the seat.
I just am concerned about the i-Opener getting too hot and going into some type of exothermal heat overload. I have considered fabricating a small sun shade/shield and having that attached with plastic standoffs and also have one or two 3" fans thermostatically (or power by solar cells placed on the dash) controlled to blow air across the back of the i-Opener.

So what would one suggest/recommend be the best of the 2 cpu's and a safe clock speed one should run this at?

Have You considered, Don't change the CPU.
I am Running a V4 with WinMe, GPS, & WinAmp.
Works OK. Win98se was Better.

But @ 12VDC You aren't going to have Sound.

also, I recommend using a LapTop Hard Drive.

It sounds to me like your main heat concern should be the interior temp. of the car when parked in the sun, rather than cpu temps. Where I live (St Louis area), summer temps inside closed cars, regularly exceed 175F. Most newer audio stuff is designed for this, but the effects on an I-Opener are unknown. If any direct sunlight is allowed to hit the I-Opener, the case will warp, and the screen may become damaged. If you could design a quick-remove setup, you could put the thing in a cooler(no ice) in the trunk. I personally think a laptop stands a much better chance of long-term survival, in these conditions, than an I-Opener.

how about an aluminum shade that you can drop in place when you get out..

Thanks for all the input.
I still am thinking about the aluminum shade. I like that Idea. just kickin' around inside my head the possiblity of mounting 2 small 12v fans to exhuast hot air forward (Towards windshield) and away from the i-Opener. These could be power by a small array of solar cells (Nothing heavy duty but enough to get a decent draft going) on top of the dash or larger one on the roof. I have a roofrack so the array could be placed in between the rails on the roof and it would not look to GEEKish...
I one time had a Uniden MR8100 mounted on the dash in a similar fashion....The heat finally got to it after 3 or 4 years and it started to display random characters on the LCD display.
Hmm, I do have several i-Openers.....
