Big trouble with USB Ethernet adapter

I have bought this SMC smc 2102usb/eth adapter recently in an effort to get on the net with my V.3 I opener.
No luck win2k pro installs and reports all is well with the adapter but there is 0 packets either sent or recieved. The tx/rx light on my adsl modem confirms no packet trafic but the link light is one. I am attempting to set up DHCP under tcp/ip but the adapter appears to be simply not connecting at all. Any ideas???? please tell me it's something obvious so I can fix this and move on.

With the Cable Modems I have used,
You have to Cycle Power to get it to Bind with a New MAC Address.
Worth a Try, (maybe You knew this, but someone else reading might not)
